This Legal Notice establishes the terms and conditions for accessing and using the platform created (hereinafter, the "Platform") by MH CASA TECHNOLOGY SPAIN S.L.U. (&uot;`Nexu&uot;` or th "`Company"`) and made available free f charge toits users (hereinafter, the "`Users"`).

By merely accessing the Platform, Users acknowledge, understand, and unconditionally accept the terms and conditions stipulated in this Legal Notice (the "Terms and Conditions"). Therefore, it is recommended that Users carefully read these Terms and Conditions, as well as any messages, instructions, or warnings communicated to them while navigating the Platform, as they must comply with all of them. If Users disagree with these stipulations, they should not use the Platform.

Nexu reserves the right to modify or update the Terms and Conditions at any time and without prior notice, due to regulatory requirements, technical reasons, changes in the services offered, or strategic decisions. These changes will be reflected in the updated text accessible to Users in these Terms and Conditions, so Users are advised to periodically review them.

If the User does not agree with the changes, they must stop using the Platform and, if applicable, unsubscribe from any registration or distribution list associated with the Platform. Using the Platform after changes are made will constitute acceptance of the changes.

Purpose of the Platform

The Platform facilitates easy and simple contact between Users and professionals specialized in health-related matters or other related fields, such as psychological or medical services, among others (the "Professionals"), allowing these Professionals to provide various health-related or other related services, such as medical advice or psychological counseling, among others.

Nexu acts as a mere intermediary that facilitates and centralizes contact between Users and Professionals, providing them with all the necessary tools to make such contact.

Minors

Contracting certain products and services may involve the payment of a fee and the acceptance of specific contractual conditions, which require the user to be over 18 years old.

Access to the Platform

Access to and browsing on the Platform is free of charge. Some of the services provided through the Platform may be regulated by special conditions, policies, and/or instructions, which will replace, complement, or modify these Terms and Conditions.

Users agree to use the Platform lawfully and appropriately, in compliance with applicable laws and these Terms and Conditions. Users must refrain from:

• Unauthorized or fraudulent use of the Platform.
• Accessing or attempting to access restricted areas of the Platform.
• Impersonating other Users or third parties, or harassing others, and using the Platform in an offensive, harmful, or inappropriate manner.
• Using the Platform for illegal or illicit purposes or in a manner that could damage, disable, or impair the Platform’s functionality.
• Causing damage to Nexu’s or third-party systems, including introducing or spreading viruses or other harmful systems.
• Attempting to access, use, or manipulate Nexu’s data or third-party data.
• Applying reverse engineering techniques, deciphering, or decompiling to discover the Platform’s source code or intellectual property.
• Modifying or attempting to modify the Platform’s appearance or functionality.

Limitation of Liability

Nexu does not guarantee the availability or continuity of the Platform’s operation. Therefore, Nexu shall not be liable for any damages resulting from:

• Lack of availability or access to the Platform.
• Interruptions in Platform operation, including technical failures, phone malfunctions, or data system overloads.
• Errors or delays in accessing the Platform due to internet network problems or unforeseeable circumstances beyond Nexu‘s control.
• Losses or damages resulting from viruses, malware, or unauthorized third-party intrusions.

Users declare that by agreeing to these Terms and Conditions, they will hold Nexu harmless from any claims resulting from violations by the Users of these provisions or third-party rights.

Third-party Links

Nexu does not control the content of external sites accessed through the Platform’s links. Therefore, Nexu is not responsible for the information contained in them or any resulting effects. These links are provided for User convenience, and the inclusion of a link does not imply endorsement or sponsorship by Nexu.

Indemnification

In the event of damages, losses, or costs suffered by Nexu due to a User’s breach of these Terms and Conditions, the User must fully compensate Nexu. This also applies to claims made by third parties as a result of User actions.

ntellectual and Industrial Property Rights

This Platform belongs to Nexu. Its contents (including, but not limited to, source code, trademarks, images, and designs) are protected by intellectual and industrial property laws. Access to the Platform does not grant any license or authorization over these contents. Any reproduction, distribution, modification, or commercial use of Platform content without prior written consent from Nexu is prohibited.

Data Protection

Certain services on the Platform may require Users to provide personal data. Nexu processes this information in compliance with applicable data protection laws, as detailed in its Privacy Policy.

Cookie Policy

During Platform navigation, cookies may be used in accordance with applicable law and the Cookies Policy, which forms part of the Privacy Policy.

Notifications

Nexu may notify Users through email or phone contact details provided by them.

Assignment

Users may not assign their rights and obligations under these Terms and Conditions without Nexu’s prior written consent. Nexu may assign its rights and obligations to any entity within its group or any successor to its business.

Safeguard and Interpretation

These Terms and Conditions constitute an agreement between each User and Nexu. If any provision is deemed illegal or unenforceable, it shall be interpreted as closely as possible to its original intent without affecting the remaining provisions.

Language

The applicable language for these Terms and Conditions is Spanish. Any version in another language is provided merely for convenience.

Governing Law and Jurisdiction

These Terms and Conditions, the Platform, and the relationship between Users and Nexu are governed by Spanish law. Any disputes shall be subject to the jurisdiction of the courts of Madrid, unless applicable law requires otherwise.
